iHealthFlix Terms of Use

iHealthFlix (the Service) is sponsored and administered by Managed Care On-Line, Inc. (MCOL). The Service offers online access to selected healthcare business related videos, on an ongoing monthly subscription basis for all videos available through the Service (Monthly Subscription). Subscriptions are available on an individual basis (Individual Subscription) or to organizations on a Site License basis (Site License Subscription) for Subscribers as set forth herein. These Terms of Use set forth provisions that apply to Subscribers regarding use of the Services and its features.

Your Acceptance of These Terms

By registering as a Subscriber, you signify your acceptance of the provisions of the iHealthFlix Terms of Use. If you do not agree to the iHealthFlix Terms of Use, please do not use the Service, and cancel your Subscription as set forth herein. Your continued use of the Service following the posting of changes to these terms will mean that you accept those changes. Compliance with the Law

You must comply with all applicable governing laws at all times regarding your use of this Service.

Privacy Policy

The iHealthFlix Privacy Policy applies to Subscribers’ use of the Service, and MCOL management of the Service. Click here to review the Privacy Policy.

Subscription Payment and Term Provisions

Current pricing for Subscriptions is set forth in the IHealthFlix website. Initial Subscriber payment must be received for Subscription to be activated. Subscriber payment shall as follows:

  • Monthly Subscriptions Payment by Credit Card – monthly, for a minimum four months of service
  • Annual Subscriptions Payment by Check or Credit Card – for twelve months of service, paid annually

The Subscription Term shall be according to calendar months, with the Initial Term for Monthly Subscriptions being allocated as follows during the first month of service:

  • Monthly Subscriptions activated on the first through the fourteenth of the month shall count as a full month of service
  • Monthly Subscriptions activated on the fifteenth of the month and thereafter during the month shall be included with the following month in counting as a full month of service
  • The Annual Anniversary date for Annual Subscriptions shall be on the first day of the month of the month of activation for activations occurring between the first and fourteenth of a month, and shall be on the first day of the month following the month of activation for activations occurring between the fifteenth and the last day of a month.

Subsequent Subscriber payments for Monthly Subscriptions paid by credit card shall be charged to the Subscriber credit card on file on or around the first business day of each month after the initial month of service. Subsequent Subscriber payments for Annual Subscriptions shall be invoiced to subscriber in advance of the annual anniversary date, and payment by check or credit card must be received by the anniversary date in order for there to be no lapse in Service.

Subscription Cancellation Provisions

Subscribers may cancel their Subscription at any time, subject to the provisions set forth herein. Subscriber Notice of Cancellation must be made by the Subscriber using of the methods of Subscriber Contact to MCOL indicated in the Service website. MCOL may suspend or cancel Subscriptions in the event of non-payment for the current Term of Service, or due to Subscriber violation of the Terms of Service as set forth herein, and is responsible to prospectively notify Subscriber in the event of any Cancellation. The following payment and refund provisions apply to all Cancellations:

  • Monthly Subscription Payments by Credit Card are not eligible for refunds for any amounts previously paid. In the event of cancellation prior to the initial minimum required four months of service, Subscriber credit card will be charged at the time of cancellation for any remaining months of service necessary to meet the minimum four months of service requirement.
  • Annual Subscriptions may receive a pro-rata refund upon request for unused months of service beyond the initial minimum four months of service. The pro-rata share of the initial minimum four months of service are not eligible for a refund.
  • Any unpaid balance for the Current Term of Service prior to Subscriber Notice to MCOL, or MCOL Notice to Subscriber of Cancellation of Service remains due and payable to MCOL.

Site License Subscription Provisions

Site Licenses for the Service granted by MCOL allow organizations to provide Service subscriptions to a defined set of users within that organization whereby the organization and each of its defined users are granted the rights and responsibilities of a Subscriber as set forth herein. Specific provisions of the Site License including a description of the defined users and pricing and payment terms shall be provided in writing and agreed to between the parties.   

Subscription Rules of Conduct

Subscribers are granted a limited, non-exclusive, non-transferable, license to access the Service and view Service content. Except for the foregoing limited license, no right, title or interest shall be transferred to Subscribers. Subscribers agree to:

  1. Not share their Service username and password with third parties, not make their username and password publicly available, and not provide access to the Service to third parties using the Subscriber’s account.
  2. Not use or attempt to use another Subscriber’s account.
  3. Not simultaneously use the Service on two or more devices under an Individual Subscription account.
  4. Not archive, download (other than through caching necessary for personal use), reproduce, distribute, modify, display, perform, publish, license, create derivative works from, offer for sale, or use content and information contained on or obtained from or through the Service without express written permission from MCOL.
  5. Not: attempt to or actually override any security component included in the Service; circumvent, remove, alter, deactivate, degrade or thwart any of the content protections in the Service; use any robot, spider, scraper or other automated means to access the Service; decompile, reverse engineer or disassemble any processes accessible through the Service; insert any code or product or manipulate the content of the Service in any way; or, use any data mining, data gathering or extraction method.  
  6. Not duplicate, license, sublicense, publish, broadcast, transmit, distribute, perform, display, sell, rebrand, otherwise transfer or commercially exploit iHealthFlix Content except as specifically authorized in writing by MCOL.
  7. Not remove any copyright, trademark or other proprietary rights notices contained in the Service.
  8. Not infringe or use the iHealthFlix, or MCOL brand, logos and/or trademarks without authorization.

Third Party Intellectual Property

Service Content includes videos and other content provided by third parties in partnership with MCOL. Said third party Service Content is protected by applicable copyrights held by these parties, and is included in the Content provisions under the Subscription Rules of Conduct.

Refusal of Service and Content

MCOL reserves the right, at its sole discretion, to refuse to honor any request for Subscriptions to the Service. Furthermore MCOL reserves the right to terminate any Subscription at any time, deny access to the Web Site to a specific user(s) or to delete any Content at any time.

Subscription Eligibility

If you subscribe to iHealthFlix, you represent and warrant that you (a) are not under the age of 18; (b) have not previously been suspended or removed from Registration by MCOL; (c) will keep your password confidential; and (d) will comply with the iHealthFlix Terms of Use at all times.

Indemnify MCOL

You agree to indemnify MCOL and hold MCOL harmless from any damages, losses and costs (including, but not limited to, reasonable attorneys’ fees) related to third party claims, charges or investigations, caused by your failure to comply with the iHealthFlix Terms of Use, including, without limitation, your non-adherence to Subscription Rules of Conduct that violates third party rights or applicable laws.

Disclaimers

MCOL provides no guarantee regarding the validity and accuracy of the Content provided in the Service. MCOL does not guarantee that the Service will function without periodic interruption or incur periodic errors in functioning. MCOL periodically updates Content and may add, replace or delete any specific videos provided in the Service at any time. MCOL reserves all rights not expressly granted herein, including, without limitation, title, ownership, intellectual property rights, and all other rights and interest in iHealthFlix and all related items. MCOL neither warrants nor represents that your use of the Service will not infringe the rights of third parties. MCOL declines all liability for identity theft or any other misuse of your identity or information.

Notification of Changes

The iHealthFlix Terms of Use may be revised over time. The most recent update date of this policy will always appear at the beginning of this policy. We do, however, recommend that you read the iHealthFlix Terms of Use each time you use the Service.
